This Purchase Policy & Terms of Sale (the "Policy") governs your purchase of services and software solutions (the "Services") from MultiModal-Technologies, LLC ("MultiModal," "we," "us"), a North Carolina limited liability company. By checking the acceptance box and completing checkout, you (the "Client") confirm you have read, understood, and agree to be bound by this Policy. If you do not agree, do not complete the purchase.

1. Artificial intelligence — no liability for model errors or omissions

Our Services are powered in part by large language models, including Claude, provided by Anthropic. AI models can produce output that is inaccurate, incomplete, outdated, or otherwise wrong, and may "hallucinate" information. To the fullest extent permitted by law, MultiModal is not liable for any errors, omissions, inaccuracies, or other defects in output generated by Claude or any other AI model, or for any decision, action, or loss arising from reliance on such output. You are responsible for reviewing and verifying AI output before relying on it.

2. Data storage acknowledgment

You understand and accept that, in order for the Services and the underlying models to function properly, we store your data internally — including the content you and your business provide to the Services and data the Services process on your behalf. This storage is a necessary part of operating, hosting, and improving the Services we run for you. We retain this data for as long as needed to provide the Services and as described in our Privacy Policy.

3. No resale or redistribution of your data

We do not sell, release, or redistribute your data to any data broker or other third party for their independent use. We use your data only to provide and operate the Services for you, and we share it with infrastructure and model providers (such as Anthropic) solely as needed to deliver the Services. We will not monetize your data by selling it.

4. "As is" and "as available" — no warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that they will meet your requirements or produce any particular result.

5. Limitation of liability

To the fullest extent permitted by law, MultiModal and its members, operators, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Services or this Policy, even if advised of the possibility of such damages.

In all cases, our total aggregate liability arising out of or relating to the Services or this Policy will not exceed the amount you actually paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

6. Not professional advice

The Services and any AI output are provided for general business and informational purposes only and do not constitute legal, financial, accounting, tax, medical, appraisal, or other professional advice. You are solely responsible for verifying output and for any decisions you make. For professional matters, consult a qualified professional.

7. Third-party services

The Services rely on third parties, including Anthropic (Claude) for AI models and other infrastructure and payment providers (such as Stripe). These third parties are not under our control. We do not warrant and are not responsible for the availability, accuracy, security, or behavior of any third-party service or model. Your use of third-party services may be subject to their own terms.

9. No uptime or availability guarantee

Unless we agree otherwise in a separate written service-level agreement, the Services are provided without any guarantee of uptime or availability. The Services may be unavailable due to maintenance, updates, third-party outages, or events beyond our control, and we are not liable for any such interruption.

10. Data security & confidentiality

We take reasonable technical and organizational measures to protect your data and treat your business data as confidential. However, no method of transmission or storage is completely secure, and we cannot guarantee absolute security. We will handle your data as described in our Privacy Policy and will not disclose your confidential information except as needed to provide the Services or as required by law.

11. Governing law & dispute resolution

This Policy is governed by the laws of the State of North Carolina, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to this Policy or the Services will be resolved exclusively in the state or federal courts located in North Carolina, and you consent to that venue. The parties will first attempt to resolve any dispute informally by contacting hello@multimodal-technologies.com. Nothing in this section prevents either party from bringing a qualifying claim in the North Carolina small-claims court.

12. Changes to this Policy

We may modify this Policy from time to time. The version in effect at the time of your purchase governs that purchase. Material changes will be reflected by an updated version date at the top of this page; your continued use of the Services after changes take effect constitutes acceptance of the updated Policy.

13. Fees & refunds

Fees are described at checkout and are processed securely by Stripe; we do not store your card details. Setup fees are generally non-refundable once work has begun; recurring retainer fees may be canceled going forward as described at checkout or in your engagement terms. Specific refund terms for a given purchase, if any, are stated at the point of sale.
